Senior Corporate Paralegal

  Essential Duties

Reporting directly to the General Counsel, your essential duties and responsibilities will include:

  • Providing support in relation to corporate, commercial and contract law matters
  • Assist with various corporate transactions, including M&A due diligence and closings
  • Drafting, filing and managing various Corporate Resolutions as well as business entity documents for corporations, LLCs, etc.
  • Prepare various corporate document drafts, including articles of incorporation; bylaws; minutes and consents; organizational charts; director / officer appointments and resignations; preparation for annual meetings
  • Drafting of legal documentation, including agreements, correspondence, contracts regulatory filings, corporate governance documents
  • In the event of an IPO, assist with all corporate governance aspects including SEC regulations and public company filings
  • Providing general administrative support to the legal team

 

 

Desired Skills & Experience

  • Bachelor’s degree with 5+ years of relevant experience
  • Prior corporate paralegal experience in an in-house legal team or law firm
  • Experience working with publicly traded companies is a plus
  • Experience in the insurance or financial services industry is a plus
  • Demonstrated success managing complex and competing organizational priorities in a fast-paced environment
  • Ability to work and communicate effectively with many individuals within all levels of the Company
  • Knowledge and ability to perform legal and factual research, problem solving skills
  • Ability to manage and meet multiple deadlines
  • Remain focused in a deadline driven environment with many moving pieces
  • Strong document/record-keeping skills and work ethic
  • Strong organizational skills and attention to detail
  • Strong written and verbal communication, interpersonal, organizational, and follow-up skills
  • Ability to work independently, set priorities & proactively assume responsibility for projects
  • Strong analytical skills
  • Self-starter who can work well in a team
  • Easily adaptable to continual change
