Department Overview
The Corporate Governance department consists of approximately 7 attorneys and other professionals who provide legal counsel to and representation of selected business units and/or corporate departments on assigned legal matters. Corporate Governance work includes, but is not limited to, board of director and committee support for The Allstate Corporation (“Allstate”), Securities and Exchange Commission (SEC) advice and counsel, corporate governance advice and counsel, Allstate’s annual shareholders meeting and proxy statement, other SEC periodic and current filings, shareholder engagement, and subsidiary governance.
Job Description
- Provide legal advice and counsel to Allstate and its senior management and board of directors related to SEC compliance and corporate governance and sustainability practices.
- Lead the due diligence related to and development, filing and distribution of Allstate’s proxy statement and other annual meeting materials, including performing extensive research related to disclosure best practices and rule checks related to the proxy statement to ensure compliance and best practice disclosure.
- Play a key role in Allstate’s shareholder engagement initiatives, and assist with responses to shareholder inquiries.
- Plan for and provide legal advice in connection with The Allstate Corporation annual meeting.
- Assist with the preparation of certain board of director and nominating and governance committee materials related to the proxy statement, annual meeting and other corporate governance and sustainability matters.
- Provide advice and counsel on emerging legal issues and risks in the corporate governance and sustainability (environmental, social and governance) areas.
- Manage the vendors responsible for the design and filing of the annual meeting materials, the solicitation or proxy votes, and the distribution of annual meeting materials.
Job Qualifications
- Possesses a Juris Doctorate and a license to practice law in Illinois
- Must have 5 or more years of related experience, including experience preparing proxy statements
- Has relevant experience with a reputable law firm or an in-house legal department for a mid- to large-sized organization
- Prior experience requiring project management skills, ideally related to leading the due diligence (including director and officer questionnaires and related research), drafting, internal review and approval, and filing of proxy statements
