ICW Group is hiring for a Assistant General Counsel. The focus of this role will be to make legal services readily available to all departments within the company. This position exists to handle routine corporate legal work in-house and to encourage preventative law.

What Will You be Doing?

Coordinates and responds to routine regulatory law requirements, including the preparation of a variety of contracts.

  • Assists in preparation of State admission applications.
  • Responds to inquiries from State insurance departments and agencies.
  • Prepares annual holding company filings.
  • Assists in coordinating and responding to underwriting and market conduct examinations.
  • Reviews, analyzes, revises and drafts contracts for all departments, including, but not limited to: software license, development and maintenance contracts, vendor agreements, lease agreements, agency agreements and policy endorsements, confidentiality and non-disclosure agreements, releases and other various legal documents.
  • Drafts and enforces corporate and department procedures and processes for maintaining corporate contracts.
  • Prepares various standard corporate contracts such as non-disclosure agreements, consulting services agreements, temporary staffing agreements, and statements of work.

Assists in corporate Legal and Litigation department duties.

  • Assists General Counsel in maintaining all corporate entities.
  • Serves as the Secretary of a subsidiary.
  • Assists General Counsel with reinsurance issues as needed.
  • Assists in analyzing, reviewing, and distributing information on new legislation, regulations, and court decisions.
  • Supervises outside counsel handling corporate litigation and legal work for the Company.
  • Reviews and assists in responding to subpoenas, document, and business records requests.

Participates in Corporate Strategy groups and represents the company in hearings.

  • Attends and participates in corporate strategy groups as well as outside legal associations such as ACC.
  • Provides legal advice as needed regarding corporate strategy.
  • Assists General Counsel with preparation of department budget.
  • Represents the Company in disputes before the Office of Administrative Hearings.
  • Provides legal advice and research to company departments.

Develops and leads a team of legal administrative professionals

  • Organizes team workloads, assigns projects and manages resources and results.
  • Sets performance expectations, team and individual goals and timelines in alignment with Department goals.
  • Provides regular feedback and coaching to team members.
  • Mentors and develops team members to further their skills and knowledge; creates and monitors development plans.
  • Prepares and conducts performance evaluations.
  • Hires and develops employee, and prepares disciplinary actions (including terminations).
  • Approves direct reports expense reports and expenses beyond their authority.
  • Establishes and maintains the overall work cadence and, in partnership with Workers Compensation Claims leaders, ensures performance and outcomes strive for excellence in delivery and customer experience.
  • Oversees the performance management and development process for direct reports and performs performance management duties, development planning and coaching.
  • Ensures that direct reports are engaged and that leadership practices in the department encourage development, recognition and retention.

SUPERVISORY RESPONSIBILITIES

Directly supervises legal department team members including Licensing Coordinators, Filing Analysts and others.

EDUCATION AND EXPERIENCE

Bachelors degree (B.A.) from four-year college or university and law degree (J.D.) from ABA-accredited law school; 8-11 years of experience as senior in-house counsel, senior associate in a law firm, or senior attorney in a governmental law office. Must have experience with corporate and regulatory issues as well as litigation and supervisory experience.

CERTIFICATES, LICENSES, REGISTRATIONS

Admission to State Bar of California required.

KNOWLEDGE AND SKILLS

Ability to analyze, interpret, and discuss the most complex legal documents and legal and business issues. Ability to communicate and work effectively with personnel at all levels and departments of the Company and outside the Company, including officers, directors, employees, attorneys, regulators, and vendors. Ability to respond effectively to the most sensitive inquiries or complaints. Ability to make effective presentations on controversial or complex topics to top management, directors, courts, and public groups. Ability to write clear, concise, and grammatically correct contracts, documents, legal opinions, memoranda, and correspondence. Ability to negotiate resolutions of problems including contract terms, litigation, and inter-departmental issues. Must have good time management skills and the ability to handle multiple projects at the same time. Ability to add, subtract, multiply, and divide using whole numbers, common fractions, and decimals. Ability to compute rate, ratio, and percent, and have ability to draw and interpret bar graphs. Ability to apply principles of logic to a wide range of intellectual and practical problems. Basic proficiency with computers and Microsoft Office Products as well as Westlaw legal research. Also proficient in the use of a legal matter management system CounselLink preferred.

Office environment no specific or unusual physical or environmental demands and employees are regularly required to sit, walk, stand, talk, and hear.

WORK ENVIRONMENT

This position operates in an office environment and requires the frequent use of a computer, telephone, copier, and other standard office equipment. Occasional travel will be required.
