Underwriter Americas M&A, New York, NY

Liberty Global Transaction Solutions established Mergers & Acquisitions is looking to further expand its U.S team with the establishment of a new team in one of its existing New York offices. The focus of this role will be on underwriting transactional risk insurance products, specializing in Representations and Warranties (R&W) insurance. You will be a key member of the U.S. M&A team and will undertake a meaningful role in growing our business in the New York area and building relationships with clients in the region.

In this challenging role you will:

• Conduct business and legal review of public and private M&A deals, including analysis of risk, reviewing transaction documents, disclosure process, diligence reports and discussions with the deal team as part of underwriting transactional risk insurance products.
• Assess insurability of risk and negotiate and draft policies for insured risks.
• Cultivate and form relationships with M&A production and distribution sources-with focus on brokers, law firms, private equity firms, investment banks, and accounting firms.
• Travel within the region for client visits and occasional international travel.
• Mentoring and development of junior members of the team.

Qualifications:

• Practicing attorney with 4+ years qualification in corporate M&A at a top law firm (you do not need to be admitted to practice in NY).

• Understanding of and experience in technology transactions desired.

• Specific experience with insurance sector and other financial institutions a strong plus.

• Detailed understanding of complex corporate structuring and financial arrangements-first hand M&A deal experience is critical.

• Specific knowledge of transactional legal exposures (market-standard reps and warranties and indemnity provisions).

• Superior interpersonal skills and ability to work collaboratively with others.

• Strong written and oral communication skills.

• Highly focused, hardworking and creative thinker.

• Ability to work in a demanding environment, with strong time management skills and ability to utilize initiative.
