Underwriter - Americas M&A, San Francisco

Liberty Global Transaction Solutions' established Mergers & Acquisitions (M&A) insurance team has an opening for an attorney with 4+ years M&A deal experience to further expand its U.S team with the establishment of a new team in one of its existing Texas offices. Ideally candidates would have exposure to transactional risks insurance.  The focus of this role will be on underwriting transactional risk insurance products, specializing in Representations and Warranties (R&W) insurance with particular expertise in oil and gas and/or Latin American transactions. The successful candidate will be a key member of the U.S. M&A team and following an introductory period in New York (where the majority of our Americas M&A underwriters are based), will undertake an important role in expanding our business on the West Coast and building relationships with clients in the region.

 

Responsibilities:

  • Business and legal review of public and private M&A deals, including analysis of risk, reviewing transaction documents, disclosure process, diligence reports and discussions with the deal team as part of underwriting transactional risk insurance products.

  • Assess insurability of risk and negotiate and draft policies for insured risks.

  • Nurture and build relationships with M&A production and distribution sources-with focus on brokers, law firms, private equity firms, investment banks, and accounting firms.

  • Travel within the region for client visits, with periodic travel to New York and occasional international travel.

  • Mentoring and development of junior members of the team.

Qualifications:

  • Practicing attorney with 4+ years qualification in corporate M&A at a top law firm (you do not need to be admitted to practice in CA).
  • Understanding of and experience in technology transactions desired.
  • Specific experience with insurance sector and other financial institutions a strong plus.
  • Detailed understanding of complex corporate structuring and financial arrangements-first hand M&A deal experience is essential.
  • Specific knowledge of transactional legal exposures (market-standard reps and warranties and indemnity provisions).
  • Superior interpersonal skills and ability to work collaboratively with others.
  • Strong written and oral communication skills.
  • Highly focused, enthusiastic and creative thinker.
  • Ability to work in a fast paced environment, with strong time management skills and ability to use initiative.
