Job Details
AmTrust is looking for an attorney to join its legal department in New York, NY to support its Unique Risk Underwriting (URU) division. URU is a deal-focused team with a broad international mandate to enter into transactions on both sides of the balance sheet. Potential transactions may involve asset-backed securities, structured finance and credit products, asset management activities, insurance-related assets and underwriting structured insurance and reinsurance products. The attorney will serve as lead counsel for the division and provide legal support for other matters involving URU, as needs arise.
Responsibilities
- Advising on transaction terms and structuring issues for a broad range of transactions;
- Drafting and negotiating credit facilities, secured and unsecured loans, guarantees and other similar agreements;
- Drafting and negotiating documents relating to structured finance transactions, including commitment letters, purchase agreements, security agreements and intercreditor agreements;
- Drafting and negotiating documents relating to structured insurance and reinsurance products, including policies, contracts, disclosure documents, distribution agreements and other related documents; and
Assessing legal, regulatory and compliance risks, coordinating with other members of the legal group, as necessary, and communicating on ways to effectively mitigate such risks.
Qualifications- At least five years of applicable legal experience with a primary focus on either structured finance or insurance and reinsurance transactions;
- Previous law firm experience required;
- Capacity to take initiative and work independently;
- Strong interpersonal and oral and written communication skills;
- Attention to detail with a commitment to identifying and mitigating risk for the company;
- Ability to think and work cross-functionally, including with finance, treasury, asset management, legal and senior management teams; and
- Admitted to practice in New York and in good standing in all jurisdictions in which the attorney is licensed to practice.
