Job Description

Responsibilities include but are not limited to:

  • Drafting, reviewing and negotiating contracts with clients and vendors
  • Reviewing requests for proposals
  • Providing legal counsel to management related to contractual provisions and client requests
  • Assisting in drafting company policies
  • Acting on behalf of the General Counsel as directed by the General Counsel

SUPERVISORY RESPONSIBILITIES:

SUPERVISION RECEIVED:

  • The Assistant General Counsel reports General Counsel

SUPERVISION EXERCISED:

  • Reviewing work of contracts paralegals

QUALIFICATIONS:

EDUCATION:

  • BS / BA or Equivalent Work Experience
  • JD
  • Licensed to practice law in one or more relevant jurisdictions

EXPERIENCE:

  • Four years relevant experience

SKILLS/ABILITIES:

  • Significant contract drafting talent
  • Ability to write clearly and effectively in business and legal correspondence and reports
  • Ability to diplomatically but effectively negotiate with counsel for clients and vendors
  • Mastery of to do list management, from prioritization to making sure responsibilities are not missed
  • Comfort with adopting new technology
  • Ability to effectively present (orally and in writing) information to all levels of an organization
  • Ability to meet the urgency of deadlines while maintaining the highest quality of work
  • Ability to stand in for General Counsel as directed by General Counsel

KNOWLEDGE:

  • Thorough understanding of the meaning of contractual clauses
  • Business and financial acumen
  • General familiarity of the insurance industry
  • General familiarity with legal aspects of data security
  • General familiarity with privacy rights (knowledge of HIPAA would be a plus)

ROUTINE DECISIONS AND FORMAL POLICY SETTING:

DECISIONS ROUTINELY MADE INCLUDE:

  • Best manner of exercising professional judgment in all aspects of work assignments
  • How to best address client and vendor requests for changes to our contracts
  • What to mark up in a client or vendor prepared contract
  • The best ways to meet business goals while minimizing risk, and how to communicate advice effectively
  • Evaluating risks and rewards in contractual relationships
  • Evaluating the consequences of alternative courses of conduct, taking into account the immediate matter and broader ramifications beyond the immediate matter at hand, using legal training, knowledge of the business, and input from the General Counsel.

POLICY SETTING:

  • Responsible for making recommendations regarding policies associated with legal aspects of the companys business.
  • Assist with the continuous improvement of contract templates
