Provides complementary professional services to the General Counsel, works with law department staff and functions as Associate General Counsel for the corporation and supplementary legal advisor to all departments and subsidiaries of the parent company. As directed by General Counsel, guides and coordinates legal matters involving the corporation, subsidiaries, and officers acting on behalf of the company. J.D. from an accredited law school, preferably in top quartile of class. Minimum of ten (10) years' experience with steadily increasing responsibility in an AV rated firm and/or mid to large corporation. Demonstrated Financial Service industry experience very desirable as demonstrated by insurance, banking, accounting or financial services work and/or educational experience. Broad-based generalist experience in financial services and insurance contracts, litigation, M&A, distribution systems, negotiations, drafting, financings and regulatory related matters required. Comprehensive business litigation experience to include trials; taking and defending depositions; motions, briefing and arguments, appellate briefing and argument in areas such as commercial transactions, Art. 9 secured transactions, non-competes, contracts, anti-trust, etc. Experience with broad-based business matters to include role in substantial financings, acquisitions, marketing distribution agreements, insurance market contract drafting, key contracts and other business transactions. Member of any state bar; eventual PA bar required. Clean malpractice history. Minimum of five (5) years' management or project leadership experience required. Property& casualty insurance industry experience preferred. Proficiency with Microsoft Office suite; Prior experience with Worldox desirable. Skilled negotiator and advocate. Ability to work closely with marketing and sales managers regarding tailored/custom insurance marketing agreements. Strong leadership, management and organizational skills required to effectively coordinate and handle projects on a priority basis in order to maintain consistent high quality and meet short and long term objectives.
