Job Description

Staff Attorney position in the Investments & Business Transactions division of Allstate's Law & Regulation Department – Staff Attorney will assist in providing legal advice and support to business partners as a member of the Business Transactions team. Business Transactions matters include: (a) procurement contracts and other transactions in connection with technology, marketing, advertising, claims, product operations, professional services, equipment leasing, facilities services, foundations/not-for-profits and other matters throughout the Allstate enterprise; (b) corporate finance, banking, and treasury matters, including corporate securities offerings; and (c) mergers, acquisitions, and dispositions, collaboration agreements with strategic partners, debt and equity investments, company formations, and other business transactions to implement corporate strategies. Typical contracts include professional services agreements, software license agreements, software as a service agreements, purchase and sale agreements, joint venture agreements, and non-disclosure agreements.

Nature of the Job
Provides legal advice and counsel, with supervision, on behalf of Investments and Business Transactions Law. Assists in providing advice and counsel to business partners on legal issues and risks in connection with routine transactions. Conducts preliminary legal review and assessment of day-to-day matters. Conducts research, identifies issues, drafts, reviews, and negotiates agreements, and prepares recommendations with respect to day-to-day matters. Manages projects and handles some matters independently to conclusion.

This position supports, and has direct accountability for overseeing and handling routine issues for various client groups including Allstate Technology and Strategic Ventures, Procurement, and various other business units including those engaged in mergers, acquisitions, dispositions, and strategic initiatives, and is responsible for coordinating with various internal clients in connection with that work. From time-to-time, this position also is responsible for overseeing the work of outside counsel and contract workers in connection with routine activities.

Job Qualifications

License to practice law in the U.S. Jurisdiction (and/or other states)

Three to eight years of transaction experience in a large corporate law firm or a Fortune 500 or similar company

Developing legal and business knowledge with respect to business transactions

Good analytical and interpersonal skills

Ability to identify and manage issues and develop and influence others

Developing relationships with industry peers and participation in industry associations

Transaction experience related to Technology contracts is a significant plus
